Welcome to Quizriella. These Terms of Service ("Terms") govern your access to and use of the Quizriellaapplication, website, and services (collectively, the "Service") operated by APHVN Limited ("Company", "we", "us", or "our").

APHVN Limited is a company registered in England and Wales with company number 15968200.

Please read these Terms carefully before using the Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and APHVN Limited.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

2. Eligibility

You must be at least 13 years of age to use the Service. If you are under 18 years of age (or the age of legal majority in your jurisdiction), you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

By using the Service, you represent and warrant that you meet these eligibility requirements and have the legal capacity to enter into these Terms.

3. Description of Service

Quizriella is an AI-powered platform that enables users to create videos using artificial intelligence technology. The Service allows you to upload content, including images and other media, which is processed by our AI systems to generate video content.

The Service may include free and paid features, and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

4. Account Registration and Security

To access certain features of the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate, current, and complete
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Immediately notify us of any unauthorized use of your account or any other security breach

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, or misleading.

5. User Content

A. Your Content

"User Content" means any content you upload, submit, or otherwise provide to the Service, including but not limited to images, photographs, videos, audio, text, and any other materials.

You retain ownership of your original User Content.

B. License to User Content

By uploading User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, process, adapt, modify, publish, transmit, display, and distribute your User Content solely for the purposes of:

• Operating and providing the Service to you
• Processing your content through our AI systems
• Improving and developing the Service
• Complying with legal obligations

This license continues until you delete your User Content or your account, except for content that has been shared with others or made public, and except where retention is required for legal purposes.

C. Representations and Warranties

By uploading User Content, you represent and warrant that:

• You own or have obtained all necessary rights, licenses, and permissions to upload and use the User Content
• Your User Content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, publicity rights, or other legal rights
• You have obtained proper consent from any individuals whose likeness, image, or personal information appears in your User Content
• Your User Content complies with all applicable laws and these Terms

6. AI-Generated Content

A. Ownership

Subject to your compliance with these Terms and any applicable payment obligations, you are granted a license to use the AI-generated videos and content created through the Service ("Generated Content") for personal and commercial purposes, except where prohibited by law or these Terms.

B. Limitations

You acknowledge and agree that:

• AI-generated content may be similar or identical to content generated for other users
• We do not guarantee the uniqueness, accuracy, or quality of any Generated Content
• You are solely responsible for reviewing Generated Content before use to ensure it meets your requirements and complies with applicable laws
• The legal status of AI-generated content ownership varies by jurisdiction, and you should seek legal advice regarding intellectual property rights in your jurisdiction
• AI may misread your song, lyrics, prompt, or photos, and Generated Content may not resemble any person, voice, or style as closely as you expect
• A result that is not to your taste, or not what you imagined, is not a defect in the Service

All Generated Content is provided "as is", without any warranty, as described in section 12.

7. Prohibited Uses

You agree not to use the Service to create, upload, or distribute content that:

• Violates laws: Is illegal, promotes illegal activities, or violates any applicable laws or regulations
• Creates non-consensual content: Depicts any person in a sexual, violent, defamatory, or otherwise harmful manner without their explicit consent, including but not limited to non-consensual intimate imagery ("deepfakes")
• Exploits minors: Depicts, exploits, or endangers minors in any way, including child sexual abuse material (CSAM)
• Promotes violence or terrorism: Promotes, glorifies, or incites violence, terrorism, or violent extremism
• Contains hate speech: Promotes hatred, discrimination, or violence against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics
• Spreads misinformation: Creates fraudulent, deceptive, or misleading content designed to deceive others, including fake news, election misinformation, or impersonation of real individuals without disclosure
• Infringes intellectual property: Infringes or misappropriates any intellectual property rights, including copyrights, trademarks, or trade secrets
• Harasses or threatens: Harasses, threatens, bullies, stalks, or intimidates any person
• Is obscene or pornographic: Contains, or is used to generate, any sexually explicit, pornographic, or NSFW material. This prohibition is absolute and admits no exception
• Facilitates fraud: Is designed to deceive, defraud, or scam others, including phishing, identity theft, or financial fraud
• Violates privacy: Collects, processes, or discloses personal information of others without proper authorization or consent

You also agree not to:

• Use the Service to compete with us or create a competing service
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or algorithms of the Service
• Use automated means, including bots, scrapers, or crawlers, to access or use the Service without our express written permission
• Circumvent, disable, or interfere with security features of the Service
• Attempt to gain unauthorized access to any part of the Service, other users' accounts, or any systems or networks connected to the Service
• Use the Service in any manner that could damage, disable, overburden, or impair the Service
• Resell, redistribute, or sublicense access to the Service without our authorization

8. Content Moderation and Enforcement

We reserve the right, but are not obligated, to monitor, review, and remove any User Content or Generated Content that violates these Terms or that we find objectionable in our sole discretion.

If we determine that you have violated these Terms, we may take any action we deem appropriate, including:

• Issuing warnings
• Removing or disabling access to content
• Suspending or terminating your account
• Reporting illegal activity to law enforcement
• Taking legal action against you

9. Payment Terms

A. Fees and Billing

Certain features of the Service require payment. By purchasing a subscription or credits, you agree to pay all applicable fees and charges at the prices shown at the time of purchase. All fees are final and non-refundable except as set out in section 9D or where the law requires otherwise. We may change our prices, plans, and the number of credits any feature costs at any time; changes apply from your next purchase or renewal.

B. Subscriptions

Subscriptions renew automatically at the end of each billing period until you cancel. Cancelling stops future renewals only: you keep access until the end of the period you have already paid for, and we do not refund or credit any part of a billing period, whether used or unused. It is your responsibility to cancel before the renewal date.

C. Credits

Credits (also called tokens) are a limited, revocable license to use features of the Service. They are not money, have no cash value, cannot be exchanged, transferred, or redeemed for cash, and are not your property. Credits are used up when a generation starts, whether or not you are satisfied with the result and whether or not you download or use it. Unused credits may expire as described in your plan and are forfeited if your account is closed. If a generation fails because of a fault on our side, we may, at our discretion, return the credits it used; we do not refund money for failed generations.

D. Refunds

All purchases are final. We do not offer refunds, in whole or in part, for any reason, except where the law requires us to. In particular, we do not refund:

• Credits that have been used, in whole or in part
• Unused credits or unused time on a subscription
• Generated Content you are not happy with, including results that differ from what you expected, contain the errors or artifacts typical of AI, or do not resemble a person, voice, or style as closely as you hoped
• A subscription renewal you forgot to cancel
• Periods when you did not use the Service
• Accounts suspended or closed for breaching these Terms

Any refund or goodwill gesture is at our sole and absolute discretion, may be given as credits instead of money, and does not oblige us to do the same again for you or anyone else.

Purchases made through the Apple App Store or Google Play are processed by Apple or Google under their own terms, and only they can refund them. Web purchases are processed by our payment provider, which acts as merchant of record and has its own buyer terms.

E. Your Right to Cancel (UK and EU Consumers)

If you are a consumer in the UK or the European Union, the law normally gives you 14 days to cancel a purchase of digital content. That right ends once supply of the digital content has begun with your express consent.

By completing a purchase of credits or a subscription, you:

• expressly request that we supply your credits or subscription immediately, within the 14-day cancellation period; and
• acknowledge that you lose your right to cancel once supply has begun.

Supply begins the moment credits are added to your account or your subscription is activated. Once you use any credits, even for a single generation, you can no longer cancel that purchase or ask for a refund of it.

F. Chargebacks

If you dispute a payment with your bank or card issuer instead of contacting us first, we may suspend or close your account and remove any remaining credits while the dispute is open, and we may contest the dispute.

10. Intellectual Property

A. Our Intellectual Property

The Service, including its software, design, graphics, logos, trademarks, and all other content (excluding User Content and Generated Content), is owned by or licensed to APHVN Limitedand is protected by copyright, trademark, and other intellectual property laws.

B. Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

C. Restrictions

Except as expressly permitted in these Terms, you may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any part thereof.

11. Third-Party Services

The Service may integrate with or contain links to third-party websites, services, or content. We do not control and are not responsible for third-party services, and your use of such services is at your own risk. We encourage you to review the terms and privacy policies of any third-party services you access.

12. Disclaimers

THE SERVICE AND ALL GENERATED CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• The quality of any content or Generated Content will meet your expectations
• Any errors in the Service will be corrected
• Any feature, AI model, style, or price will stay available
• Generated Content will look or sound the way you intended

You acknowledge that AI technology has inherent limitations and that Generated Content may contain errors, inaccuracies, or unexpected results. You are solely responsible for reviewing and validating any Generated Content before use.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL APHVN LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless APHVN Limited and its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service
• Your User Content or Generated Content
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your violation of any third party's rights

15. Termination

You may terminate your account at any time by following the instructions in the Service or by contacting us.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and all associated data, including User Content and Generated Content
• You will not be entitled to any refund of fees paid, and any unused credits are forfeited, except as required by applicable law

The following sections shall survive termination: User Content (license provisions), Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

16. Governing Law and Dispute Resolution

A. Governing Law

These Terms and any dispute arising from or related to the Service shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

B. Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts of England and Wales for any dispute arising out of or related to these Terms or the Service, except that we may seek injunctive or other equitable relief in any court of competent jurisdiction.

C. Consumer Rights

If you are a consumer, nothing in these Terms affects your statutory rights under applicable consumer protection laws, and you may be entitled to bring proceedings in the courts of your country of residence.

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and APHVN Limited regarding the Service and supersede all prior agreements.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
• Notices: We may provide notices to you via email, through the Service, or by other reasonable means.
